Duties, Powers & Limitations of "Trustees"
1.All Trustees, including the Managing Trustee, are appointed for life in the Trust. There is no retirement age.
2.Each Trustee shall uphold & keep upheld the Vision, Mission & Values of this Trust mentioned hereabove. Any violation constitutes misconduct &is due cause for removal from the Trust.
3.The Trustees shall enable the Managing Trustee in administering the Trust in an ethical &amicable manner.
4.The Trustees shall dutifully attend-either physically or via remote presence-all the quarterly & annual meetings of the Board of Trustees. Failure to attend two successive meetings shall automatically disqualify a Trustee from the Board.
5. The Trustees can recommend the appointment of person(s) of unimpeachable integrity as Trustees of this Trust. Trustees-including the Managing Trustee-can as Trust employees/ consultants in administrative functions or on-field project managers with due compensation for their professional services.
6.The Trustees can recommend the appointment of other person(s) or entities with due qualifications, experience & skills as employees/ consultants of this Trust.
7.The Trustees can remove the Managing Trustee by a unanimous vote only (i.e., 100% of the Trustees excluding the Managing Trustee).
8.The Trustees can recommend the removal of a Trustee from this Trust by a two-thirds vote (i.e., 266% of the Trustees including the Managing Trustee).
9.The Trustees can recommend the removal of a Trust employee/ consultant from this Trust by a one-half majority vote (i.e., ≥50% of the Trustees including the Managing Trustee).
